These Terms of Service ("Terms") govern your use of the Member Paywall platform, website, Telegram bots, and associated services (collectively, the "Service") provided by Evenkeel Capital LLC ("Evenkeel," "we," "us," or "our"), a Wyoming limited liability company with its registered office at 30 N Gould St, Ste N, Sheridan, WY 82801, United States. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
To use certain features of the Service, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account password and for all activities that occur under your account, whether or not you have authorized such activities. You agree to notify us immediately of any unauthorized use of your account.
You, as a Creator, retain ownership of all content you create, upload, post, or display on or through the Service ("Your Content"). However, by providing Your Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content solely in connection with operating, developing, providing, and improving the Service.
You are solely responsible for Your Content and the consequences of posting or publishing it. You represent and warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use Your Content as necessary to exercise the licenses granted by you in this section; and (ii) Your Content, and our use thereof as contemplated by these Terms, does not and will not: (a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (c) violate any applicable law or regulation.
If you use the optional AI setup assistant, any setup it drafts is a suggestion only, and you must review it before use. You remain responsible for your plans, prices, and content, whether or not they were drafted with AI assistance.
You agree not to engage in any of the following prohibited activities:
Member Paywall charges a platform fee of 3% on the gross amount of each successful transaction processed through your Edge Bots for subscriptions or content sales. This fee is automatically deducted. All payments are processed through third-party payment processors (e.g., Stripe). Stripe processing fees are separate from our platform fee and are subject to Stripe's terms and conditions. You are responsible for all applicable taxes.
We reserve the right to change our platform fees upon reasonable notice, which may be provided by posting the changes on our website or through other communications. Any fee changes will apply to transactions that occur after the effective date of the fee change.
Excluding Your Content, all aspects of the Service, including but not limited to the Member Paywall name, logo, design, software, technology, and all intellectual property rights therein, are the exclusive property of Evenkeel Capital LLC and its licensors. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such intellectual property rights.
We may terminate or suspend your access to all or part of the Service, without prior notice or liability, for any reason or no reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVENKEEL CAPITAL LLC, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE. UNDER NO CIRCUMSTANCES WILL WE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE THREE MONTHS PRIOR TO THE ACT THAT GAVE RISE TO THE LIABILITY.
The Service is a tool to facilitate content monetization. We are not responsible for the financial success of Your Content, nor do we provide financial, legal, or investment advice.
You agree to defend, indemnify, and hold harmless Evenkeel Capital LLC and its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service, including any data or content transmitted or received by you; (ii) your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy or Intellectual Property Rights; (iv) your violation of any applicable law, rule, or regulation; (v) Your Content or any content that is submitted via your account including without limitation misleading, false, or inaccurate information; or (vi) any other party’s access and use of the Service with your unique username, password, or other appropriate security code.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Wyoming, United States to resolve any legal matter arising from the Terms.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on our website or by other means of communication. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
These Terms constitute the entire agreement between you and Evenkeel Capital LLC regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
